These Terms of Service (“Terms”) govern your access to and use of CueClip (“CueClip”, “we”, “our”, or “us”), a desktop software application owned and operated by Mokline LLC, a limited liability company organized under the laws of the State of Delaware, United States.
By downloading, installing, accessing, or using CueClip, you agree to be bound by these Terms. If you do not agree, you may not use CueClip.
1. What CueClip Is
CueClip is a desktop video editing application that uses artificial intelligence to help users edit, analyze, and export video content more efficiently. Features may include, but are not limited to:
- Transcript-based video editing
- AI-assisted clip detection, removal, and restructuring
- Highlight and short-form clip generation
- Exporting edited video content
CueClip provides tools only. You are solely responsible for reviewing, approving, and publishing any outputs created using the software.
2. AI Usage & Third-Party Costs
CueClip may integrate with or allow access to third-party artificial intelligence services, including transcription and language models.
- You are solely responsible for all AI usage costs, including fees charged by third-party providers.
- CueClip does not sell, resell, bundle, or mark up AI usage.
- You are responsible for supplying, managing, and securing any required API keys.
CueClip and Mokline LLC are not liable for usage overages, unexpected charges, or billing disputes related to third-party AI services.
3. Copyright, Content Rights & User Responsibility
You represent and warrant that:
- You own or have the necessary rights, licenses, or permissions to use any content uploaded, edited, or exported using CueClip.
- Your use of CueClip does not infringe any copyright, trademark, privacy, publicity, or other third-party rights.
CueClip does not review, verify, or guarantee copyright compliance of user content.
You assume all responsibility for copyright claims, takedowns, strikes, monetization loss, or legal disputes arising from content edited or exported using CueClip.
4. Ownership of Content & Exports
- You retain full ownership of all original content you upload.
- You own all video exports, edits, and files created using CueClip.
- CueClip does not claim ownership, licensing rights, or royalties over your content.
CueClip does not reuse or distribute your exported files beyond providing the application’s functionality.
5. License Grant (Single Machine Only)
Upon purchase, you are granted a limited, non-exclusive, non-transferable license to install and use CueClip on one (1) device only.
You may not:
- Use a single license on multiple machines
- Share, resell, transfer, or sublicense the license
- Circumvent license checks, activation systems, or device restrictions
Any violation may result in immediate license revocation.
6. Commercial & Personal Use
CueClip may be used for both personal and commercial purposes, including monetized content, client work, and business use, provided these Terms are followed.
CueClip does not grant rights to content you do not own or have permission to use.
7. Refunds & 14-Day Money-Back Guarantee
If you purchase a CueClip license directly from Mokline LLC (including through our official checkout linked from cueclip.app), you may request a full refund of the license fee within fourteen (14) calendar days from the date of purchase if you are not satisfied with the software.
To request a refund, email support@cueclip.app from the email address used at checkout and include your order or receipt details. Approved refunds are returned to your original payment method where technically possible; timing may depend on your bank or card issuer. If we issue a refund, your license may be deactivated or revoked.
This 14-day guarantee generally applies to your first qualifying purchase. We may refuse a refund where we reasonably believe the policy is being abused (for example, repeated purchase-and-refund cycles) or where fraud or chargeback abuse is suspected.
If you purchased through a third-party marketplace or reseller, that party's refund and cancellation terms apply instead of this section.
Nothing in this section limits any non-waivable consumer rights that apply to you under the laws of your country or state of residence.

8. Prohibited Uses
You agree not to use CueClip to:
- Violate applicable laws or regulations
- Infringe intellectual property rights
- Create or distribute unlawful, deceptive, or harmful content
- Reverse engineer, copy, modify, or resell the software
- Bypass licensing, DRM, or security measures
We reserve the right to suspend or terminate access for violations.
9. Disclaimer of Warranties
CueClip is provided “as is” and “as available.”
We make no warranties regarding:
- Accuracy or reliability of AI outputs
- Fitness for a particular purpose
- Uninterrupted or error-free operation
Your use of CueClip is at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law:
- Mokline LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages.
- Total liability shall not exceed the amount you paid for the CueClip license.
11. Availability & Termination
We may modify, suspend, or discontinue CueClip at any time without liability.
We may revoke licenses or terminate access for violations of these Terms.
12. Privacy
Your use of CueClip is subject to our Privacy Policy.
CueClip may collect anonymous usage analytics, including interaction data and session recordings, to improve the functionality, usability, and reliability of the software. Such analytics are intended to capture application behavior only and are not intended to record the contents of user video files or exported media.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, and applicable federal laws of the United States.
